MIAMI, August 18, 2022 /PRNewswire/ — Royal Caribbean Group (NYSE: RCL) (the “Company”) today announced the closing of its private offering of $1,250,000000,000 aggregate principal amount of 11.625% senior unsecured notes due 2027 (the “Notes”). The Notes will mature on August 15, 2027, unless redeemed or redeemed earlier.
The Notes will be issued pursuant to an indenture dated August 18, 2022between the Company and The Bank of New York Mellon Trust Company, NA, as trustee, principal paying agent, transfer agent and registrar.
The Company expects to use the net proceeds from the offering of the Notes to repay the principal of indebtedness maturing in 2022 and/or 2023 (including to pay fees and expenses related to such repayments). Pending such uses, the Company may temporarily use the proceeds to repay borrowings under its revolving credit facilities or other borrowings.
